The Issuer operates in the form of a joint-stock company, under Polish law, in particular pursuant to the provisions of the Commercial Companies Code. The Issuer operates under the business name of Marvipol Spółka Akcyjna and may also use an abbreviated form of its name: Marvipol S.A. The Issuer's registered office is located in Warsaw, at ul. Stawki 3A, 00-193 Warszawa, phone: (+48 22) 536-50-00, fax: (+48 22) 536-50-01.

The Issuer, as a joint-stock company, was recorded in the Register of Entrepreneurs under number KRS 0000250733 in 2006, February 15. The Issuer's legal predecessor, Marvipol Sp. z o.o., was established in 1996, May 17 and originally focused on the provision of services related to the initial stages of the real-estate development process, that is land acquisition for residential and commercial developments, necessary documentation, providing also any required consultancy and agency services.

Marvipol has been also engaged in the development and expansion of a car wash stations' network called Robo Wash Center.

Since 2000, the Company has been implementing its own reputable multi-occupancy residential and commercial developments, dealing with all phases of the process, from acquiring the land, through working with architectural firms, obtaining valid building permits, engaging and supervising building general contractors, up to delivering ready made apartments to clients and then operating the development.

In 2003 Marvipol S.A. acquired at first a majority, and next 100% stake, in JLR Polska Sp. z o.o., an exclusive general importer to Poland of Land Rover cars since June 2004, and of Jaguar cars since April 2005.

Currently, the Group is engaged in the following three business areas:

• - real-estate development, which is the Company's core business;
• - operation of a car wash stations' network, which is the Company's auxiliary business, called Robo Wash Center;
• - exclusive general import to Poland and also retail distribution and maintenance service of Land Rover, Jaguar, Caterham, Aston Martin and Lotus cars in the main regions of Poland through subsidiaries.
